Terms of Service

Licensing, refund policy, prohibited uses, and dispute resolution governing your access to Puravida Edge.

Terms of Service

These Terms of Service ("Terms," "Agreement") govern your access to and use of the products, software, content, and services (collectively, the "Service") provided by Pura Vida Connections LLC ("Puravida Edge," "we," "us," "our") through puravidaedge.com (the "Site").

By creating an account, purchasing a subscription, starting a free trial, or otherwise accessing the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Definitions

  • "Service" means the suite of automated trading strategies, related documentation, configuration sheets, customer support, and any other materials made available by Pura Vida Connections LLC through the Site or through TradingView invite-only scripts.
  • "Strategy" means each individual automated trading algorithm (e.g., PV EDGE Pivot, Reject, Open, Trace, Hook, Anchor) offered as an invite-only Pine Script on TradingView.
  • "Bundle" means a purchasable combination of Strategies as described in our pricing page (e.g., Single Bundle, Track Combo, Ultimate).
  • "Subscription" means a recurring payment plan (quarterly, annual) for continued access to a Bundle.
  • "Lifetime License" means a one-time payment for non-expiring access to a Bundle, subject to these Terms.
  • "Account" means your registered account with us, identified by your email and TradingView username.
  • "Risk Disclosure" means the Risk Disclosure document published on the Site, incorporated by reference.
  • "Privacy Policy" means our Privacy Policy, incorporated by reference.

2. Eligibility

To use the Service, you must:

  • Be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher)
  • Have the legal capacity to enter into binding agreements
  • Not be a resident of any jurisdiction subject to U.S. OFAC sanctions or otherwise restricted by U.S. export control law
  • Not be barred from receiving services under applicable U.S. or other applicable law
  • Maintain an active TradingView account in good standing

If you are accessing the Service on behalf of a legal entity, you represent that you have authority to bind that entity.

3. Description of the Service

Puravida Edge provides access to automated trading strategies designed for use with TradingView as invite-only scripts. The Service includes:

  • TradingView invite-only access to the Strategies in your purchased Bundle
  • Configuration sheets, alert templates, and recommended risk settings
  • Email-based customer support
  • Monthly model updates (where applicable to your subscription type)
  • Risk preset documentation (Conservative and Aggressive)

The Service does not include:

  • Trade execution services
  • Account management or fiduciary services
  • Personalized investment advice
  • Live trading signals delivered via channels other than TradingView
  • Custodial services for your funds
  • Access to source code of the Strategies

4. Account Registration

To use the Service, you must provide a valid email address and your TradingView username during checkout. You agree that:

  • You will provide accurate, current, and complete information
  • You will maintain the security of your credentials and notify us promptly of unauthorized access
  • You will not create multiple accounts to circumvent purchase limits, founders pricing limits, or refund policies
  • You will not share your TradingView account credentials with any third party

We may suspend or terminate accounts that violate these requirements.

5. Pricing, Payment, and Founders Pricing

5.1 Payment Processor

All payments are processed by Dodo Payments, which acts as Merchant of Record for transactions on the Site. Dodo Payments handles billing, tax collection (including VAT, GST, and U.S. sales tax where applicable), invoicing, and chargeback management. Your purchase is subject to Dodo Payments' terms of service in addition to ours.

5.2 Pricing Tiers

Current pricing is published on the Site at the pricing page. We offer:

  • Quarterly Subscriptions — billed every 3 months, auto-renewing until canceled
  • Annual Subscriptions — billed every 12 months, auto-renewing until canceled
  • Lifetime Licenses — one-time payment for non-expiring access (subject to Section 14)

5.3 Founders Pricing

Founders Pricing offers a one-time discount on Lifetime Licenses, limited to the first 50 purchasers per tier. Once the 50-spot limit per tier is reached, Founders Pricing is no longer available and Lifetime License is sold at standard pricing. The 50-spot count is tracked by Pura Vida Connections LLC and is final.

5.4 Currency and Taxes

All prices are listed in U.S. Dollars (USD). Applicable taxes (VAT, GST, sales tax) are determined by Dodo Payments based on your billing location and added at checkout where required by law.

5.5 Coupon Codes

We may issue promotional coupon codes for discounts or special offers. Coupon codes:

  • May not be combined with other offers unless explicitly stated
  • May have expiration dates
  • Are non-transferable and have no cash value
  • May be withdrawn or modified at our discretion

5.6 Auto-Renewal

Quarterly and annual subscriptions auto-renew at the end of each billing cycle at the then-current standard rate (not the introductory or founders rate). You may cancel auto-renewal at any time via the Dodo Payments customer portal. Cancellation takes effect at the end of the current billing period.

5.7 Failed Payments

If a recurring payment fails, we may suspend Service access until payment is resolved. We will attempt to notify you via email of payment failure.

6. Free Trial

We offer a 7-day free trial of certain subscription tiers, subject to the following:

  • A valid payment method is required at signup
  • Trial automatically converts to a paid subscription at the end of the 7-day period unless canceled
  • Cancellation during the trial period results in no charge
  • Only one trial per customer; abuse of trial via multiple accounts is grounds for termination
  • During the trial, you have full access to the Service for the duration

7. Refund Policy — Action-Based Money-Back Guarantee

7.1 Standard Refund Window

A 14-day action-based money-back guarantee applies from the date of original purchase. Refunds are issued only when you demonstrate, on a demonstration (paper-trading) account, that the Strategy materially does not meet its documented technical specifications (e.g., entry/exit logic, position sizing rules, alert behavior).

7.2 Documentation Required for Refund

To claim a refund, you must:

  • Open a refund request by email to legal@puravidaedge.com within 14 days of original purchase
  • Provide a TradingView strategy log or equivalent demonstrating the technical discrepancy
  • Provide the exact configuration used (TradingView chart settings, alert configuration, broker bridge configuration)
  • Cooperate with our technical investigation in good faith

7.3 Refunds Not Granted

The following are not grounds for refund:

  • Failing a prop firm evaluation challenge for any reason
  • Losing money in a funded account
  • Realizing that the Strategy is not suited to your style or risk tolerance
  • Disagreeing with the time-to-pass, blow rate, payout frequency, or any other modeled performance figure
  • Using the Aggressive preset on a prop firm with real-time (intraday) trailing drawdown (see Section 13)
  • Changes in prop firm rules occurring after your purchase
  • Changes in market conditions
  • Failure to set up bridge software, broker connection, or TradingView alerts correctly
  • Generally not understanding the Risk Disclosure

7.4 Effect of Refund

When a refund is issued:

  • Your TradingView access to the Strategies is revoked immediately
  • Your Account is terminated
  • Future purchases may be denied at our discretion

7.5 Lifetime License — No Downgrade

Lifetime Licenses may not be downgraded to subscription. If a refund is issued on a Lifetime License within the 14-day window, the full purchase amount is refunded; outside the 14-day window, no refunds are issued for Lifetime Licenses except where required by applicable law.

7.6 Chargebacks

Initiating a payment chargeback without first attempting resolution under this Section 7 is a violation of these Terms. We reserve the right to terminate your account and pursue collection in the event of bad-faith chargebacks.

8. License Grant

Subject to your full and ongoing compliance with these Terms and full payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Strategies in your purchased Bundle, solely for your personal trading activity via your registered TradingView account, for the duration of your subscription (or perpetually for Lifetime Licenses, subject to Section 14).

9. Restrictions — Acceptable Use

You will not:

  • Resell, sublicense, redistribute, or otherwise transfer access to the Strategies to any third party
  • Share your TradingView account credentials with any third party in order to provide them access to the Strategies
  • Operate the Service on behalf of any third party as a commercial trading service, signal service, or copy-trading service
  • Reverse engineer, decompile, disassemble, or attempt to derive source code from the Strategies
  • Use the Service in violation of any applicable law, including but not limited to securities, commodities, financial services, anti-money-laundering, sanctions, and export control laws
  • Use the Service to engage in market manipulation, wash trading, spoofing, layering, or any other manipulative trading practice
  • Use automated tools to scrape, harvest, or otherwise extract data from the Site beyond what is publicly accessible through normal browsing
  • Submit false, misleading, or fraudulent information during checkout or account registration
  • Attempt to circumvent founders pricing limits, refund policies, or trial limits

Violation of this Section 9 results in immediate, irrevocable termination of access without refund.

10. Strategy Updates and Service Modifications

We may, at our sole discretion:

  • Modify, update, or improve the Strategies based on detected regime shifts, prop firm rule changes, or optimization opportunities
  • Add or remove supported instruments, prop firms, or account sizes from coverage
  • Adjust risk preset parameters
  • Discontinue specific Strategies upon reasonable notice (typically 30 days for Lifetime License holders)
  • Adjust Monte Carlo model parameters, refresh windows, or output formats
  • Modify the Site, pricing structure, or these Terms (subject to Section 23)

Updates to Strategies are included at no additional cost during your subscription or Lifetime License term, but we make no warranty that updates will improve performance or maintain compatibility with any specific prior usage pattern.

11. Third-Party Services

The Service depends on integrations with third-party platforms that are not controlled by us, including:

  • TradingView — strategy hosting and alert generation
  • TradersPost — webhook bridge to futures brokers (NinjaTrader, Tradovate, Rithmic)
  • PineConnector — webhook bridge to MT5 brokers
  • Brokers and prop firms — trade execution and account management
  • Dodo Payments — payment processing and Merchant of Record services

You acknowledge that:

  • Each third-party service has its own terms of service, privacy policy, and pricing
  • We are not responsible for the availability, accuracy, completeness, reliability, or any other aspect of any third-party service
  • Outages, errors, or changes in third-party services may affect your use of our Strategies
  • Your relationships with prop firms, brokers, and third-party platforms are between you and them — not us

12. Prop Firm Compliance — Your Responsibility

Compliance with the rules of any prop firm you engage with is your responsibility. You are responsible for:

  • Reading and understanding your prop firm's Terms of Service in full
  • Verifying which trading instruments are permitted
  • Verifying daily loss limits, trailing drawdown calculation methods, profit targets, and minimum trading day requirements
  • Verifying that automated trading via webhook bridges is permitted by the prop firm
  • Verifying that the use of third-party algorithmic strategies is permitted by the prop firm

We do not warrant or guarantee that any specific prop firm permits the use of our Strategies. If a prop firm closes your account or denies a payout based on alleged rule violations, that is between you and the prop firm.

13. Risk Preset Compatibility — Critical Notice

Our Strategies ship with two risk presets: Conservative and Aggressive. The Aggressive preset is designed exclusively for prop firms using end-of-day (EOD) trailing drawdown. Use of the Aggressive preset on a prop firm using real-time or intraday trailing drawdown has a high probability of account loss.

Use of the Aggressive preset on a prop firm with real-time trailing drawdown is not covered by the money-back guarantee. You are solely responsible for verifying your prop firm's trailing drawdown calculation method before selecting a risk preset. See the Risk Disclosure for more detail.

14. Intellectual Property

14.1 Ownership

The Strategies, the Site, and all related content (excluding your account information) are owned exclusively by Pura Vida Connections LLC and are protected by U.S. and international copyright, trademark, and other intellectual property laws.

14.2 No Transfer of Ownership

Your purchase of a Bundle does not transfer ownership of any intellectual property. You receive a limited license under Section 8 only.

14.3 Trademarks

"Puravida Edge," "PV EDGE," and related logos are trademarks of Pura Vida Connections LLC. Other product and company names mentioned on the Site (e.g., TradingView, TradersPost, PineConnector, Apex, Topstep, Forex Prop) are trademarks of their respective owners. Reference to these third-party trademarks is for compatibility identification and does not imply endorsement, sponsorship, or affiliation.

15. Termination

15.1 By You

You may terminate your subscription at any time via the Dodo Payments customer portal. Termination takes effect at the end of the current billing period.

15.2 By Us

We may suspend or terminate your access to the Service immediately, with or without notice, if:

  • You violate any provision of these Terms
  • You fail to pay any amount due
  • You initiate a chargeback in violation of Section 7.6
  • Your use creates risk or possible legal exposure for us
  • We are required to do so by law, regulation, or court order
  • We discontinue the Service entirely

15.3 Effect of Termination

Upon termination:

  • Your TradingView invite-only access is revoked
  • Your Account is deactivated
  • No refunds are issued except as required by Section 7 or by applicable law
  • Sections that by their nature should survive (including Sections 9, 14, 16, 17, 18, 19, 20, 21, 22, 23, 24, 25) survive termination

15.4 Lifetime License Termination

A Lifetime License is not perpetual against you breaching these Terms. We may terminate a Lifetime License for cause (violation of Section 9, fraudulent purchase, chargeback abuse, etc.) without refund.

16. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, Pura Vida Connections LLC DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION:

  • WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND QUIET ENJOYMENT
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
  • WARRANTIES THAT ANY PROP FIRM WILL ACCEPT THE USE OF OUR STRATEGIES
  • WARRANTIES THAT THE STRATEGIES WILL ACHIEVE ANY PARTICULAR PERFORMANCE LEVEL
  • WARRANTIES THAT MODELED OR HYPOTHETICAL PERFORMANCE RESULTS WILL BE ACHIEVED IN LIVE TRADING

NO ADVICE OR INFORMATION OBTAINED FROM THE SERVICE OR FROM US CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

  • IN NO EVENT WILL Pura Vida Connections LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR LOSS OF TRADING OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE
  • IN NO EVENT WILL Pura Vida Connections LLC BE LIABLE FOR LOSSES IN YOUR TRADING ACCOUNT(S), WHETHER WITH PROP FIRMS, BROKERS, OR OTHERWISE
  • IN NO EVENT WILL Pura Vida Connections LLC BE LIABLE FOR ANY FEES, RESET COSTS, OR OTHER PAYMENTS YOU MAKE TO PROP FIRMS OR BROKERS
  • OUR AGGREGATE LIABILITY UNDER THESE TERMS FOR ANY CAUSE OF ACTION SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY

THESE LIMITATIONS APPLY EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.

18. Indemnification

You agree to indemnify, defend, and hold harmless Pura Vida Connections LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

  • Your breach of these Terms
  • Your violation of any applicable law or regulation
  • Your violation of any prop firm Terms of Service
  • Your trading activity and resulting losses
  • Your misuse of the Service
  • Any false or misleading information you provide to us

19. Dispute Resolution — Binding Arbitration

19.1 Informal Resolution First

Before initiating any formal dispute, you agree to first contact us at legal@puravidaedge.com to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith within 30 days.

19.2 Binding Arbitration

If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by American Arbitration Association (AAA) in accordance with its commercial arbitration rules, conducted in English, with venue in Albuquerque, New Mexico.

19.3 Exceptions to Arbitration

The following claims are exempt from the arbitration requirement:

  • Claims for injunctive or equitable relief to protect intellectual property
  • Small claims court matters within the small claims court's jurisdictional limits
  • Where arbitration is prohibited by applicable law

19.4 Waiver

By agreeing to these Terms, you waive the right to a jury trial and the right to participate in any class action, class arbitration, or other representative proceeding.

20. Class Action Waiver

YOU AGREE THAT ANY DISPUTE WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING AGAINST Pura Vida Connections LLC.

21. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New Mexico, USA, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

22. International Users

The Service is operated from New Mexico, USA. If you access the Service from outside the United States, you are responsible for compliance with local laws. We make no representation that the Service is appropriate or available for use in any particular location.

We do not actively offer or solicit the Service in any jurisdiction where such offering would violate local law, including but not limited to jurisdictions subject to U.S. OFAC sanctions.

23. Changes to These Terms

We may modify these Terms at any time. When we make material changes, we will:

  • Update the "Last Updated" date at the top of the document
  • Provide notice via email or through the Site at least 30 days before the change takes effect (for material changes)

Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to modified Terms, you must stop using the Service.

24. Severability

If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be replaced with a valid provision that most closely approximates the parties' original intent.

25. Entire Agreement

These Terms, together with the Risk Disclosure and Privacy Policy, constitute the entire agreement between you and Pura Vida Connections LLC regarding the Service and supersede all prior agreements and understandings, written or oral.

26. Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of substantially all of our assets.

27. Force Majeure

Neither party will be liable for failure or delay in performance to the extent caused by events beyond reasonable control, including natural disasters, war, terrorism, civil unrest, pandemics, government action, internet or telecommunications outages, third-party service failures (including TradingView, TradersPost, PineConnector, and prop firm platform outages), or other circumstances making performance commercially impracticable.

28. Notices

Notices to us must be sent to legal@puravidaedge.com. Notices to you will be sent to the email address associated with your Account. Notices are deemed received when sent.
